1. Acceptance of Terms

By accessing the Quantized Labs Inc. website, utilizing the Quantized Labs SDK, or deploying `.quantized` artifacts, you agree to be bound by these Terms of Service.

2. Enterprise Licensing

Commercial deployment of the Quantized Labs SDK requires an active Enterprise License. Open-source or academic usage is permitted under the terms of our Community License where applicable.

3. Intellectual Property

Quantized Labs Inc. retains all right, title, and interest in and to the Quantized Labs, including all underlying compression algorithms, routing architectures (e.g., Analytic Hessian Synthesis), and associated intellectual property. You retain all ownership rights to any neural network weights, models, or data you upload to our MCaaS platform.

4. Prohibited Uses & Anti-Reverse Engineering

You agree not to, and you will not permit others to: (a) reverse engineer, decompile, disassemble, decode, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Quantized Labs Engine, SDK, or `.quantized` artifacts; (b) modify, translate, or create derivative works based on the Quantized Labs Engine; or (c) remove any proprietary notices or labels. Any attempt to reverse engineer the Analytic Hessian Synthesis or Asymmetric Entropy Routing architectures will result in immediate termination of all licenses and aggressive legal action.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUANTIZED LABS INC. BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE OR THE QUANTIZED LABS.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. QUANTIZED LABS INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Indemnification

You agree to defend, indemnify, and hold harmless Quantized Labs Inc., its contractors, employees, agents, and its third-party suppliers, licensors, and partners from and against any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of the Quantized Labs, any violation by you of these Terms, or any breach of the representations, warranties, and covenants made by you herein.
